1- PURPOSES OF THE PLATFORM
Directoro (the "Organizer") creates the platform "www.directoro.com" (the "Platform") in order to facilitate the publishing and realization of business between Latin American exporting companies and foreign importers; concentrate in a single place the supply of goods and services; and increase the exposure of companies and products through a website and commercial actions.
2- OVERVIEW OF THE PLATFORM
The Platform consists of the creation of a business ecosystem through a website (www.directoro.com) where the supply of goods and services originating in Latin America is integrated with the demand for goods and services by foreign importers. Companies will be able to offer information about their trajectory, description of their products and contact details, allowing the importer to pre-select those counterparties that best offer compatibility with their requirement, subsequently enabling them to establish direct contact.
The users of the Platform are Latin American exporting companies and other companies with export potential, exporting consortiums, chambers /sectoral and export promotion agencies (the "Exporters" or "Manufacturers" and each of them, the "Exporter" or "Manufacturer", respectively) and foreign importers (the "Buyers" and jointly with the Exporters, the "Users").
3- MANDATORY TERMS AND CONDITIONS
The Platform will be governed by these terms and conditions (the "Terms and Conditions"), which may be modified by the Organizer at any time by making the modified terms public on the Website. All modified terms will enter into force at the time of publication of the modifications, without the Organizer being obliged to state the reasons for such change. This obliges the User to read, understand and accept "The Terms and Conditions" each time he uses the Service. The User may reject such modifications to these terms and conditions, refraining from using them or, if applicable, withdrawing from the platform, and must inform the Organizer in a timely manner through the "Account Cancellation Form" or by e-mail info@directoro.com to cancel your participation on the Platform.
Participation in the Platform and/or the use of the website of the same implies the full acceptance of the Terms and Conditions by the Users.
4- REGISTRATION FOR THE PROGRAM
Exporters wishing to register for the Platform must complete the corresponding form provided by the Organizer (the "Registration Form").
To register as an Exporter, you must have sufficient authority to contract on behalf and representation of the entity that is registered, as well as to bind it in the terms of these Terms and Conditions.
To keep your subscription active, the Exporter must make monthly payments of USD 99.00 (the "Price") for the "Professional" plan. The Price may be paid by bank transfer or Mercado Pago, in the Exporter's local currency, using the official exchange rate quoted at the close of the business day prior to the day of payment.
Without prejudice to the validations that the Registration Form may require, the Organizer reserves the right to request additional documentation in order to corroborate the identity and / or the data uploaded, as well as to temporarily or permanently unsubscribe from the website those Exporters whose data could not be confirmed, without such circumstances generating the right to compensation or any compensation.
Likewise, the Organizer reserves the right to reject any registration request or cancel a previously accepted registration, without being obliged to communicate or state the reasons for its decision and without this generating the right to compensation or any compensation.
5- DATA AND INFORMATION PROVIDED
The Users acknowledge and accept that the data and information entered in the Registration Form (the "Data") may be used and processed by the Organizer for the fulfillment of the purposes of the Platform.
In this sense, among other things, the Exporters expressly authorize the Organizer to publish all or part of the Data on the website of the Platform in the way that it deems most convenient for the purposes of the same, including the possibility of translating the Data into another language.
Likewise, the Organizer may process the Data, combine them with others obtained from databases to which the Organizer has access.
Each Exporter guarantees to the Organizer the veracity and accuracy of the Data entered.
6- GOODS AND SERVICES
Only goods or services subject to export may be entered as goods or services whose commercialization is not prohibited by applicable regulations, including but not limited to the regulations of the country of origin and destination. Nor may products or services that violate morality and good customs be consigned.
The Organizer is not responsible for the veracity of the characteristics of the goods or services published by the Exporters or the reliability of the Buyers who demonstrate interest in them, limiting its function to facilitating the contact of supply and demand through the website of the Platform.
7- OBLIGATIONS OF USERS
Since the Organizer does not have any participation in the process of negotiation and improvement of commercial operations that may eventually be carried out between the Users, the Users will be the sole and exclusive responsible for all obligations related to them, including without implying limitation, tax, tax and customs obligations.
8- RESPONSIBILITY
The Organizer does not intervene in any way in the negotiation and / or the closing of the operations that Users may carry out, nor in the conditions stipulated by them for the same, therefore it will not be responsible for the existence, quality, quantity, status, integrity or legitimacy of the goods or services offered, acquired or alienated by Users, as well as the ability to contract of the Users or the veracity of the Data entered by them. Each User acknowledges and agrees to be solely responsible for the goods and services that he publishes for sale and for the offers and / or purchases he makes.
Users acknowledge and accept that when making transactions with other Users or third parties, they do so at their own risk. In no case will the Organizer be responsible for any damage and / or prejudice of any kind that the User may have suffered, due to the operations carried out or not carried out between the Users of the Platform and / or between them and other third parties.
In the event that one or more Users or any third party initiates any type of claim or legal action against another or other Users, each and every one of the Users involved in such claims or legal actions releases the Organizer and its president, directors, managers, employees, and representatives from all responsibility, obliging themselves to hold them harmless.
9- WEBSITE FAILURES
The website of the Platform may eventually be unavailable due to technical difficulties or Internet failures, or for any other circumstance beyond the control of the Organizer. In such cases, an attempt will be made to restore it as quickly as possible without any responsibility being attributed to the Organizer. The Organizer will not be responsible for any errors or omissions contained on its website. The Platform aims to guarantee a baseline service level agreement (SLA). If the website is not accessible for more than 24 hours, the membership payment of the month following such event will be deducted pro rata on a time-basis.
10- INDEPENDENT PARTIES
The Platform does not create any type of partnership, association or employment relationship between the Organizer and the Users or any of them individually considered. In this sense, the Organizer and each of the Users will retain at all times their full independence, autonomy and technical and legal individuality. There will be no joint responsibility between them, nor can it be presumed, any, and the responsibility towards third parties will be attributable to each of them, exclusively, for their own facts or omissions. In particular, each party will be responsible for its own tax, labor and pension obligations.
11- NON-BINDING OFFER
Exporters publish product prices, product availability, and other product details as a reference for preparing requests for quotation to Buyers. Buyers agree that published information does not constitute a binding offer to sell or to buy.
12- APPLICABLE LAW AND JURISDICTION
The Platform and these Terms and Conditions are governed by the law of the State of Delaware. Any dispute that may arise within the framework thereof, must be submitted to the jurisdiction of State or Federal courts located in the State of Delaware.
